Seller Terms

These Seller Terms ("Terms") are an agreement between you (the "Seller") and PINSKKIY INC ("Worknest", "we", "us"). They apply when you use Worknest to sell to your customers ("Customers"). By publishing your storefront you agree to these Terms, to the Seller Policy (seller-policy-v1) shown in the app before you open, and to the Stripe Connected Account Agreement referenced in Section 3. If you do not agree, do not publish.

1. Who the Seller is, and what Worknest is

You sell your products directly to your Customers using technology provided by Worknest. You, not Worknest, are the seller and merchant of record for your transactions. Payments are made to your own Stripe account and your business name appears on your Customer's card statement. Worknest provides software and payment-facilitation services and does not manufacture, prepare, store, inspect or sell your food.

Worknest is a tool: it lets you publish a storefront, list products, take orders and receive payment. Worknest is not a party to the sale, does not take title to your products, and does not prepare, handle, package, transport or deliver them.

2. Your responsibilities as a Seller

You are solely responsible for what you sell and how you sell it. You confirm and agree that:

Worknest does not inspect, certify, endorse or verify any Seller, product, kitchen, permit or disclosure, and makes no representation about them to Customers or anyone else.

3. Payments, Stripe, fees and payouts

Card payments are processed by Stripe. To receive payment you must accept and remain in good standing under the Stripe Connected Account Agreement, which governs your Stripe account directly between you and Stripe. You are responsible for the accuracy of the account and payout information you give Stripe.

What you receive. The price you set for a product is the amount you receive for it. Tips and delivery fees pass to you in full. Worknest's fee is built into the price the Customer sees — one all-in price, with nothing added at checkout — and no commission is deducted from the price you set.

What Worknest's fee is. About 10% of your price, with a minimum of $0.50 and a maximum of $10.00 per item; items under $2.00 carry no fee. The Customer's price is rounded up to the next $0.50. Worknest pays the card-processing cost out of that fee, so processing does not reduce what you receive; where the processing cost exceeds our fee on a small order, Worknest covers the difference so your amount still lands on your price.

Minimum order. Orders on Worknest have a platform minimum of $15. You may set a higher minimum for your shop; you cannot set a lower one.

When you are paid. Your Stripe account is on a manual payout schedule. Worknest initiates a payout to your bank once a day, for orders you have marked handed over. Money for an order you have not handed over stays in your Stripe balance until you do. Stripe's own settlement timing then applies (currently a two-day delay).

Refund advances. If a refund is owed and your Stripe balance cannot cover it, Worknest advances the funds so your Customer is refunded without delay, and recovers the advance from your later sales.

4. Taxes

You are responsible for determining and complying with your tax obligations, except to the extent applicable law requires Worknest to calculate, collect, report or remit a tax. Worknest does not currently calculate or collect sales tax on food orders.

5. Refunds, cancellations and disputes

Refunds and cancellations follow the policy shown to the Customer at checkout and the platform's order rules:

Disputes and chargebacks are handled under Stripe's process. Because the charge is on your account, Stripe's dispute fee and any lost dispute are charged to your account, and the disputed amount is withheld from your balance while the dispute is open. Worknest files the order record as evidence on your behalf. While a dispute is open, a refund on that order is blocked.

6. Prohibited items and conduct

You may not use Worknest to offer, sell or promote anything you are not legally allowed to sell, or to act unlawfully, deceptively or harmfully. You may not list or sell: anything illegal where you or your buyer is located; alcohol, cannabis, tobacco, nicotine or any controlled substance; anything requiring a licence, permit or certification you do not hold; food that has been recalled or contains a recalled ingredient; anything you did not prepare or are not authorised to sell. You are responsible for knowing the food rules that apply to you, including licence, kitchen, labelling and allergen requirements where you cook and where you deliver.

7. Pausing, suspension and termination

You may stop selling at any time by unpublishing your storefront.

Automatic pause. If two orders in a row expire because nobody accepted them, Worknest pauses your shop immediately and tells you. A pause stops new orders; it does not cancel orders you have already accepted, and it does not delete your menu or your history. You resume in one tap in the app. This exists because every unanswered order is refunded to the Customer automatically and costs you the sale.

Reports. If we receive reports about your shop we may pause it while we look into them. We will tell you when we pause and what the reports were about, unless telling you would interfere with a safety or legal matter. If we find nothing wrong, we restore your shop.

Suspension and termination. Worknest may suspend or terminate your access — including taking your storefront offline — if we believe you have violated these Terms or the law, if a payment provider or the law requires it, or to protect Customers or the platform. We may do so with or without cause, effective immediately and without prior notice. If we do, we will tell you at the email or phone number on your account, and any money already owed to you for completed orders remains payable.

Closing your account. You can delete your account in the app. You cannot delete it while paid orders are still open — hand them over, or cancel and refund them, first; the app tells you how many are open. What is deleted and what is kept is described in the Privacy Policy.

Sections that by their nature survive termination (including 1, 2, 4, 8 and 9) survive.

8. Disclaimers and limitation of liability

The service is provided "as is" and "as available", without warranties of any kind, to the maximum extent permitted by law. Worknest does not inspect, certify or guarantee any Seller or product, and makes no warranty about your products, your compliance or the outcome of any sale.

To the maximum extent permitted by law, PINSKKIY INC is not liable for indirect, incidental, special or consequential damages, or for the acts, products, food or services of any Seller. As between you and Worknest, you are responsible for your products and your sales, and for claims arising out of what you sell and your compliance or non-compliance with these Terms and the law.

9. Changes to these Terms

We may update these Terms. When we make a material change we update the version, and the updated Terms apply the next time you publish your storefront — the app asks you to agree again before it publishes. A change does not by itself take a currently-published storefront offline.
